Pending Health Care Transactions

The Charitable Trusts Unit reviews acquisition transactions involving health care organizations in New Hampshire. Pursuant to RSA7:19-b, the organizations must file a notice together with relevant documents. The Director of Charitable Trusts may then make seek further information from the organizations. The notices, relevant documents and other information received relating to pending transactions will be posted on this page.

Central NH VNA & Hospice and Concord Regional Visiting Nurse Assoc.

On August 5, 2020, Central New Hampshire VNA & Hospice submitted to the Director of Charitable Trusts a change of control notice Portable Document Format Symbol related to its proposed plan of merger with Concord Regional Visiting Nurse Association, Inc. Pursuant to RSA 7:19-b, the Charitable Trusts Unit must review the proposed transaction and issue a report. Persons interested in commenting on the transaction may do so by writing to charitabletrusts2@doj.nh.gov or to Director of Charitable Trusts, 33 Capitol St, Concord, NH 03301. Due to the Governor's Emergency Order #29, deadlines under RSA 7:19-b have been suspended until the state of emergency is lifted. Notice of public hearings will be posted on this webpage.

The RiverWoods Company, at Exeter, New Hampshire

On April 23, 2020, The RiverWoods Company, at Exeter, New Hampshire submitted to the Director of Charitable Trusts a change of control notice related to its proposed plan of reorganization. Pursuant to RSA 7:19-b, the Charitable Trusts Unit must review the proposed transaction and issue a report. A public hearing regarding the transaction took place on October 22, 2020, and can be viewed here. Persons interested in commenting on the transaction may do so by writing to charitabletrusts2@doj.nh.gov or to Director of Charitable Trusts, 33 Capitol St, Concord, NH 03301.Comments will continue to be accepted through October 26, 2020.

GraniteOne Health/Dartmouth-Hitchcock Health

On December 30, 2019, GraniteOne Health filed a notice of a proposed transaction between GraniteOne Health, the corporate co-member of Catholic Medical Center, and the sole corporate member of Huggins Hospital and Monadnock Community Hospital, plus some related entities, and Dartmouth-Hitchcock Health. Pursuant to RSA 7:19-b, the Charitable Trusts Unit must review the proposed transaction and issue a report. Persons interested in commenting on the transaction may do so by writing to charitabletrusts2@doj.nh.gov or to Director of Charitable Trusts, 33 Capitol St, Concord, NH 03301. Due to the Governor's Emergency Order #29, deadlines have been suspended. When the state of emergency is lifted, within 60 days thereafter public hearings will take place and a report issued. Frisbie Memorial Hospital/FMH Health Services (affiliate of HCA Healthcare)

On October 23, 2019, Frisbie Memorial Hospital filed a notice of proposed acquisition transaction with FMH Health Services, LLC, an affiliate of HCA Healthcare, Inc., whereby FMH would purchase substantially all of the assets of Frisbie. The notice was submitted in accordance with the requirements of RSA 7:19-b. Pursuant to that statute, the Charitable Trusts Unit must review the proposed transaction and issue a report by February 20, 2020. A public hearing on the transaction was held on Monday, January 6, 2020 from 4 to 7 PM at Spaulding High School, Rochester. The hearing was recorded and will be played on the City of Rochester Government Cable Channel, Atlantic Broadband Cable Channel 26 (Video of the hearing). On January 21, 2020, Frisbie filed a cy pres petition Portable Document Format Symbol with the 7th Circuit Court in Dover.
