Attorney General Michael A. Delaney and Secretary of State William Gardner issued the following consumer alert to all New Hampshire business owners:
Business entities should be aware of mailings being sent throughout the state from a company using the name:
CORPORATE RECORDS SERVICE
and listing a Concord, New Hampshire mailing address. These solicitations appear to be official government notices suggesting business entities fill out and submit an "Annual Minutes Form," and further indicate that for a fee of $125.00 the "annual minutes requirement for your corporation will be satisfied."
The Attorney General and Secretary of State advise that this company is providing a service of questionable value and, despite inconspicuous disclaimers, appears designed to create the false impression that it is an official governmental communication. The timing of this solicitation also appears designed to coincide with the due date of required annual return filings for business entities with the Secretary of State's Office.
Under New Hampshire's Consumer Protection Act, N.H. RSA 358-A, it is unlawful for any person to use any unfair or deceptive act or practice in the conduct of any trade or commerce within this state.
